Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Thoughtpiece (the "Service"), operated by Amafi ("we", "us"). By signing in, you agree to these Terms. If you do not agree, do not use the Service.

2. Accounts

• Accounts are created by an Amafi administrator for named individuals at partnered advisory firms.
• You are responsible for the confidentiality of your credentials and for all activity under your account.
• Notify us immediately if you suspect unauthorized access by emailing thoughtpiece@amafi.online.

3. Acceptable use

You agree not to:

• Use the Service to send unsolicited bulk messages, spam, phishing, or anything violating the Gmail sender policy or applicable anti-spam law (including the Hong Kong Unsolicited Electronic Messages Ordinance, the US CAN-SPAM Act, and the EU GDPR / ePrivacy Directive where a recipient is within those jurisdictions).
• Send content that is unlawful, defamatory, infringing, fraudulent, hateful, or obscene.
• Attempt to access accounts, data, or systems you are not authorized to access.
• Reverse-engineer, scrape, or probe the Service outside of the intended interface.
• Use the Service to generate or distribute investment advice that would constitute a regulated financial service in any jurisdiction without proper licensing.

4. Your content and recipients

• You retain ownership of the newsletter configurations, drafts, and delivered content you create.
• You are responsible for having the right to contact every email address in your recipient lists and for honoring unsubscribe requests.
• When sending via Gmail Send, the message leaves your own Gmail account. You are the sender for all legal purposes.

5. AI-generated content

The Service uses third-party AI providers (Perplexity, Google Gemini) to assist with research, drafting, and image generation from prompts you supply. Output may contain errors, inaccuracies, or content that does not reflect current market facts. You are responsible for reviewing and approving every newsletter before it is sent. The approval step in the workflow exists for this reason.

6. Service availability

We aim for high availability but do not guarantee uninterrupted access. We may schedule maintenance, update, or temporarily suspend the Service without prior notice where required for security or operational reasons.

7. Warranty disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that AI-generated content is accurate, complete, or suitable for any specific investment, tax, legal, or commercial decision.

8. Limitation of liability

To the maximum extent permitted by law, Amafi's aggregate liability arising from or related to the Service is limited to the fees you have paid in the twelve months preceding the claim, or HKD 1,000 where no fees were paid. Amafi is not liable for indirect, consequential, incidental, special, or punitive damages, loss of profit, loss of data, or loss of goodwill, even if advised of the possibility.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, unlawful use, or at our discretion on 30 days' written notice. On termination your data is handled under the retention section of our Privacy Policy.

10. Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China. Any dispute will be brought exclusively in the courts of Hong Kong, and you submit to their exclusive jurisdiction.

11. Changes

We may update these Terms. Material changes will be emailed to you at least 14 days before taking effect. Continued use after the effective date is acceptance.
